1. Agreement to Terms

By accessing or using BPOS (Business Point of Sale System), you agree to be bound by these Terms and Conditions ("Terms"). If you do not agree to these Terms, you may not access or use the Service.

These Terms constitute a legally binding agreement between you ("User", "you", or "your") and BPOS ("we", "us", or "our"). Please read these Terms carefully before using our Service.

2. Definitions

  • "Service" refers to the BPOS SaaS platform, including all features, modules, and functionality provided through our web application.
  • "Store" refers to your individual business account and database created within the BPOS system.
  • "User" refers to any individual or entity that accesses or uses the Service.
  • "Invoice" refers to sales transactions processed through the POS system.
  • "Payment Gateway" refers to PayHere, our third-party payment processing service.

3. Service Description

BPOS is a cloud-based Point of Sale (POS) system that provides businesses with tools to manage:

  • Product catalog and inventory management
  • Sales transactions and invoice generation
  • Customer and supplier management
  • Category organization
  • Sales analytics and reporting
  • Billing and payment processing

We reserve the right to modify, suspend, or discontinue any part of the Service at any time with or without notice.

4. Account Registration and Security

To use BPOS, you must:

  • Provide accurate, current, and complete information during registration
  • Maintain and update your account information to keep it accurate
  • Maintain the security of your account credentials
  • Notify us immediately of any unauthorized access or security breach
  • Be responsible for all activities that occur under your account

You are solely responsible for maintaining the confidentiality of your account password and for all activities that occur under your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

5. Billing and Payment Terms

5.1 Service Fees

BPOS operates on a per-invoice billing model. You will be charged LKR 5.00 for each completed invoice processed through the system. Fees are calculated monthly based on the number of invoices created in the previous completed month.

5.2 Payment Processing

All payments are processed through PayHere, a third-party payment gateway. By using our Service, you agree to PayHere's terms and conditions. We are not responsible for any issues arising from PayHere's services.

5.3 Payment Due Dates

Monthly fees are due by the end of the month following the billing period. For example, fees for invoices created in January are due by the end of February. Late payments may result in service suspension.

5.4 Payment Methods

We accept payments through:

  • PayHere payment gateway (credit/debit cards, digital wallets)
  • Bank transfers (manual processing required)
  • Other methods as may be specified by us

5.5 Overdue Payments

If your payment is overdue by 2 or more months, we reserve the right to suspend or terminate your access to the Service until payment is received. A grace period of one month is provided for payments of the immediately preceding month.

6. Acceptable Use Policy

You agree not to:

  • Use the Service for any illegal or unauthorized purpose
  • Violate any laws, regulations, or third-party rights
  • Transmit any viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or related systems
  • Interfere with or disrupt the Service or servers
  • Use automated systems to access the Service without permission
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Resell, sublicense, or redistribute the Service without authorization

Violation of this Acceptable Use Policy may result in immediate termination of your account.

7. Data Ownership and Privacy

You retain all ownership rights to your business data, including product information, customer data, sales records, and inventory data stored within your Store database.

We will:

  • Maintain the confidentiality of your data
  • Use your data solely to provide the Service
  • Not sell, rent, or share your data with third parties except as required by law or as specified in our Privacy Policy
  • Implement reasonable security measures to protect your data

8. Service Availability and Uptime

We strive to maintain high availability of the Service but do not guarantee uninterrupted or error-free operation. The Service may be temporarily unavailable due to:

  • Scheduled maintenance
  • System updates or upgrades
  • Technical failures or outages
  • Force majeure events
  • Third-party service disruptions (including PayHere)

We are not liable for any losses or damages resulting from Service unavailability.

9. Intellectual Property

The Service, including all software, code, designs, logos, trademarks, and content, is the exclusive property of BPOS and is protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to use the Service solely for your business operations. This license does not include the right to copy, modify, distribute, or create derivative works of the Service.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BPOS SHALL NOT BE LIABLE FOR:

  • Any indirect, incidental, special, consequential, or punitive damages
  • Loss of profits, revenue, data, or business opportunities
  • Service interruptions or unavailability
  • Errors or inaccuracies in the Service
  • Third-party actions or services (including PayHere)
  • Any damages exceeding the total fees paid by you in the 12 months preceding the claim

Some jurisdictions do not allow the exclusion of certain warranties or limitations of liability, so some of the above limitations may not apply to you.

11. Indemnification

You agree to indemnify, defend, and hold harmless BPOS, its officers, directors, employees, and agents from any claims, damages, losses, liabilities, and expenses (including legal fees) arising from:

  • Your use of the Service
  • Your violation of these Terms
  • Your violation of any law or third-party rights
  • Any content or data you submit through the Service

12. Termination

12.1 Termination by You

You may terminate your account at any time by contacting us. Upon termination, you will remain responsible for all fees incurred up to the termination date.

12.2 Termination by Us

We may suspend or terminate your account immediately if:

  • You violate these Terms or our Acceptable Use Policy
  • Your payment is overdue by 2 or more months
  • You engage in fraudulent or illegal activities
  • We are required to do so by law

12.3 Effect of Termination

Upon termination, your access to the Service will be immediately revoked. We will retain your data for a period of 30 days, after which it may be permanently deleted. You are responsible for exporting your data before termination.

13. Third-Party Services

The Service integrates with third-party services, including:

  • PayHere: Payment processing gateway. Your use of PayHere is subject to their terms and conditions.
  • Image Hosting Services: For product image storage
  • Database Services: For data storage and management

We are not responsible for the availability, accuracy, or performance of third-party services. Your interactions with third-party services are solely between you and the third party.

14. Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by:

  • Posting the updated Terms on our website
  • Sending an email to your registered email address
  • Displaying a notice within the Service

Your continued use of the Service after the effective date of the modified Terms constitutes acceptance of the changes. If you do not agree to the modified Terms, you must stop using the Service.

15. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of law provisions.

Any disputes arising from or relating to these Terms or the Service shall be resolved through:

  1. Good faith negotiation between the parties
  2. If negotiation fails, mediation in accordance with Sri Lankan mediation rules
  3. If mediation fails, binding arbitration in Colombo, Sri Lanka

You agree to submit to the exclusive jurisdiction of the courts of Sri Lanka for any matters not subject to arbitration.

16. General Provisions

16.1 Entire Agreement

These Terms, together with our Privacy Policy and Refund Policy, constitute the entire agreement between you and BPOS regarding the Service.

16.2 Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will remain in full effect.

16.3 Waiver

Our failure to enforce any provision of these Terms does not constitute a waiver of that provision or any other provision.

16.4 Assignment

You may not assign or transfer these Terms or your account without our prior written consent. We may assign these Terms without restriction.
